All rights, title, inerests in and to copyrights in the SOFTWARE PRODUCT are owned exclusively (or licensed) by XLware. GRANT OF LICENSE

XLware grants Customer the following rights:

a. Customer is granted the non-transferable, non-exclusive, and perpetual right to integrate the SOFTWARE PRODUCT in their software products, to use these products in their own company and to distribute these products under their own trade name.

b. License fee is based on the number of developers that will use the Application Programming Interface provided by this library. The total number of development workplaces is taken into account, while the number of computers is irrelevant . A single developer or a number of developers in an organization, in accordance with the purchased license, may use the SOFTWARE PRODUCT in any software development process.

c. License fee can be fixed for Enterprise licenses. In this case, any developer within a company may use the SOFTWARE PRODUCT in any software development process inside company. The total number of development workplaces and number of computers inside an organization are irrelevant.

d. Apart from the per-developer or the fixed license fee, Customer is NOT required to pay any additional distribution, runtime, royalty, or per-end-user license fees.

e. Customer may make copies of the SOFTWARE PRODUCT as may be necessary for backup and archival purposes.

RESTRICTIONS

a. Customer may not disassemble, decomplile, reverse engineer the SOFTWARE PRODUCT.

b. Customer may not transfer, modify, sell, lease or sublicense the SOFTWARE PRODUCT.

TERMINATION

Without prejudice to any other rights, XLware may terminate this EULA if Customer fails to comply with the terms and conditions of this EULA. In such event, Customer must destroy all copies of the SOFTWARE PRODUCT in your possession.

NO WARRANTIES

XLware expressly disclaims any warranty for the SOFTWARE PRODUCT. LibXL is provided “As Is” without any express or implied warranty of any kind, including but not limited to any warranties of merchantability, noninfringement, or fitness of a particular purpose.
